At KAIZEN, we recognize that maintaining the highest standards of airworthiness and safety is essential and may involve significant financial outlay. We remain committed to delivering cost-effective, transparent, and compliant maintenance solutions at all times.
PLEASE READ THESE TERMS AND CONDITIONS OF SALE CAREFULLY BEFORE ENTERING INTO ANY ENGAGEMENT WITH KAIZEN AVIATION.
If you do not agree to the following terms, you must refrain from initiating any form of engagement or transaction with KAIZEN.
By engaging with KAIZEN Aviation, you expressly acknowledge, agree, and confirm the following:

If you do not agree to the following terms, you must refrain from initiating any form of engagement or transaction with KAIZEN.
By engaging with KAIZEN Aviation, you expressly acknowledge, agree, and confirm the following:

3. Default, Interest, and Reporting
4. Authority and Communications
5. Changes in Customer Structure
6. Indemnity
7. Suspension or Cessation of Supply
8. Aircraft Housing and Airport Charges
9. After-Hours Engineering Support
10. Supremacy of Terms
- You are fully and solely responsible for all charges, fees, and obligations associated with your account.
2. Credit and Payment Terms
- No credit facilities will be extended without KAIZEN’s prior written approval.
- KAIZEN may, at its absolute discretion and without obligation to provide notice or reasons, vary, reduce, or withdraw any credit facility previously granted.
- All invoices are payable immediately upon presentation or within the documented payment terms agreed in writing.
- Accounts not settled within the applicable terms shall be deemed delinquent and may be referred, assigned, or sold to a licensed collection agency without the need for your prior consent.
3. Default, Interest, and Reporting
- KAIZEN reserves the right to report delinquent accounts to credit reporting authorities, which may adversely affect your ability to obtain credit from third parties.
- Delinquent accounts will accrue interest at a penalty rate equivalent to 2% per annum.
- Upon any breach of these Terms and Conditions, any previously granted discounts, rebates, incentives, or commercial benefits shall be automatically revoked, and pricing will be adjusted accordingly.
4. Authority and Communications
- Engineering or technical personnel are not authorised to discuss account matters, negotiate payment terms, or make any financial commitments on behalf of KAIZEN. All account-related matters are handled exclusively by KAIZEN Management.
5. Changes in Customer Structure
- You must notify KAIZEN in writing of any change in ownership, corporate structure, management, directors, shareholders, beneficiaries, trusteeship, or partnership within three (3) days of such change, in so far as it affects the entity responsible for maintaining the KAIZEN account.
6. Indemnity
- You agree to indemnify, defend, and hold harmless KAIZEN, its officers, directors, employees, agents, affiliates, and service providers from any losses, damages, liabilities, claims, expenses, or legal fees arising out of your breach of these Terms and Conditions or any improper, negligent, or unlawful conduct by you or persons acting on your behalf.
7. Suspension or Cessation of Supply
- KAIZEN may, at its sole discretion and without liability, suspend or cease the supply of goods or services at any time, even where an order has been partially fulfilled.
- In the event of default, KAIZEN may:
- (a) demand immediate payment of all outstanding amounts;
- (b) retain all amounts paid on account;
- (c) cease further deliveries and recover lost profits; and/or
- (d) enter any premises where supplied goods are located to repossess such goods.
- Where goods are located on third-party premises, you must facilitate full access for KAIZEN or its authorised representatives.
8. Aircraft Housing and Airport Charges
- KAIZEN will use reasonable efforts to house aircraft within its hangar facilities; however, no guarantee of hangar availability is expressed or implied.
- Airport parking charges or associated airport fees are the responsibility of the aircraft owner/operator and shall not be borne by KAIZEN.
9. After-Hours Engineering Support
- Engineering support requested outside standard operating hours is subject to a minimum call-out charge equivalent to four (4) hours at KAIZEN’s standard labour rate, in addition to costs for parts, materials, or resources required.
- Engagements exceeding four (4) hours will be charged at the applicable hourly rate.
10. Supremacy of Terms
- These Terms and Conditions of Sale supersede all previous agreements, terms, or understandings between you and KAIZEN.
- No terms, conditions, or provisions issued by you shall apply or form part of any agreement with KAIZEN unless expressly accepted in writing by KAIZEN Management.
